3. Client Responsibilities
Timely delivery of high-performing digital projects depends on active collaboration. Clients agree to:
- Provide brand assets, textual content, and technical access credentials in a timely manner.
- Designate an authorized representative to provide structured feedback and approvals.
- Ensure all supplied materials do not infringe upon third-party intellectual property rights.
4. Intellectual Property Rights
Upon full payment of all contracted invoices, the client receives full ownership of the bespoke deliverables, custom frontend code, and final visual assets produced specifically for the project, excluding pre-existing agency tooling, open-source libraries, and reusable core frameworks.
5. Project Estimates & Changes
All project timelines and fee quotes are based on initial scope definitions. Substantial revisions or feature expansions outside the agreed Statement of Work will be scoped transparently under separate change orders.
6. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages resulting from website downtime, third-party platform algorithm adjustments, or third-party hosting failures.
